1. Who we are
The Service is provided by RoomKey24 LLC, registered in the State of Wyoming, United States (the “Company”, “we”, “us”). The Service is a multi-tenant software-as-a-service product delivered through the web at suite.roomkey24.com.
2. Your account
You create an organisation (workspace) and invite team members. You are responsible for keeping credentials confidential and for all activity under your account. You must be legally able to enter into contracts in your jurisdiction.
3. Subscription, trial and billing
- 3-month free trial, no card required. New organisations receive a 90-day trial. We do not ask for a payment method to start the trial.
- What happens at trial end. When the trial expires without a paid subscription, the workspace is auto-downgraded to a read-only state. We do not auto-charge a card. You can subscribe at any time to keep using paid modules.
- Per-room pricing with minimums. Paid plans are billed monthly per bookable room with a plan-specific monthly minimum (Essential €89, Growth €149, Suite €299). Enterprise is custom. Per-room amounts and minimums are shown on the Pricing page and the Stripe-hosted checkout.
- Annual vs monthly. Monthly plans renew month-to-month. Annual plans are billed up-front for the 12-month term at a 2-months-free discount; the term renews unless you cancel before renewal.
- Payment processor. Card and SEPA payments are processed by Stripe, Inc. Your card data is held by Stripe, not by us.
- Taxes. Prices exclude VAT, sales tax and equivalent local levies, which are added at checkout where applicable.
4. Cancellation and refunds
- Monthly plans may be cancelled at any time and take effect at the end of the current period. No partial-month refunds.
- Annual plans may be cancelled at any time but remain active until the end of the prepaid term; we do not pro-rate refunds for the unused portion of an annual term.
- EU consumers retain any non-waivable statutory withdrawal rights under the Consumer Rights Directive.
5. Data on account closure
When a subscription ends, your workspace is moved to a read-only state for 30 daysso you can export your data. After 30 days, customer data is queued for permanent deletion and purged within a further 60 days (total: 90 days from closure), except where we are legally required to retain specific records (e.g. invoicing records for tax purposes). Backups containing your data roll off within 35 days.
6. Acceptable use
You agree not to use the Service to:
- break the law, violate third-party rights, or send unlawful content;
- upload malware, attempt to bypass authentication, or scrape other tenants' data;
- impersonate guests or employees, or use the messaging tools to spam;
- resell the Service or use it to operate a competing channel manager.
7. Your data and ours
You retain all rights in the data you upload (guests, employees, finance records, etc.). You grant us a limited licence to process that data solely to provide the Service. We process your guests' and employees' personal data as a processor on your behalf — see the Data Processing Agreement.
8. AI features
Several features use AI (rota suggestions, document classification, rate recommendations, etc.). All AI outputs require human review before they take effect. See the AI Disclosure for details, including the models used and how data is sent to them.
9. Service levels and changes
We aim for 99.9% uptime measured monthly, excluding scheduled maintenance. We may add, change or deprecate features; we will not remove a feature critical to a paid plan without reasonable notice or a replacement.
10. Warranty disclaimer
The Service is provided “as is” and “as available” to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or fit for a particular purpose. Statutory consumer warranties (where applicable) are not affected.
11. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service in any 12-month period is limited to the fees you paid for the Service in that period. We are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, loss of profits, revenue, goodwill, or data. Nothing in these Terms limits liability that cannot be limited by law (e.g. fraud, gross negligence, personal injury).
12. Governing law and venue
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-laws rules. The state and federal courts located in Wyoming have exclusive jurisdiction, except that EU consumers may bring proceedings in the courts of their habitual residence as provided by mandatory EU consumer law.
13. Changes to these Terms
We may update these Terms. Material changes will be announced in-app or by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
